These Terms of Service (“Terms”) govern your use of the Colare online assessment platform and related services (“Services”), provided by Boardroom Recruiting Corp. (“Colare,” “we,” “our,” or “us”). By registering for, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf.

7.1. Fees are based on the subscription plan selected and must be paid in advance unless otherwise agreed.

8.1. Colare retains all rights in and to the Services and related materials.
8.2. Candidate Data (responses, recordings, or personal information provided by test takers) remains the property of the Candidate.
8.3. Customer Data (your organization’s test content, results, or hiring records) remains your property. You grant Colare the right to process this data solely to deliver the Services.

Each party agrees to protect any confidential information received from the other and not disclose it except as required to provide the Services or by law.

10.1. Colare’s total liability for any claim will not exceed the fees paid by you in the 12 months prior to the event giving rise to the claim.
10.2. Colare will not be liable for indirect or consequential damages, such as lost profits or data loss.

11.1. Subscriptions automatically renew unless canceled before the end of the term.
11.2. Either party may terminate the Agreement if the other materially breaches these Terms and fails to remedy within 10 days of written notice.
